Terms of service

The rules for using TempGuard. We have tried to write them plainly — they apply to every account that uses the dashboard, the mobile apps, or the devices we ship.

01 · The agreement

What you are agreeing to.

These Terms of Service ("Terms") form an agreement between you — or the organisation you represent — and AEBISS, a company registered in Sharjah, United Arab Emirates ("AEBISS", "we", "us"). They govern your use of the TempGuard monitoring service, the TempGuard mobile applications, and any hardware we supply (together, "the Service").

By creating an account, activating a device, or signing an order form that references TempGuard, you accept these Terms. If you are accepting on behalf of an organisation, you confirm you have authority to do so.

Plain-English summary

You pay for TempGuard. We run it for you, keep it secure, and don't misuse your data. If either side seriously breaks the deal, the other can end it. Beyond that, this document spells out the detail.

02 · Your account

Keep it secure, keep it accurate.

  • You must provide accurate contact and billing information and keep it current.
  • You are responsible for activity under your account. Do not share passwords; use separate users and roles.
  • Tell us promptly if you suspect unauthorised access: security@aebiss.com.
  • Admins on a customer account can add and remove users and change their roles. If you want someone removed, contact your admin first; contact us if you cannot reach them.
03 · Subscription & billing

Simple, predictable billing.

Plans and fees

Fees are set by the plan you select (Pilot, Standard, Enterprise) or by a separately signed order form. Per-device fees, channel fees (SMS, voice), and any one-time hardware charges are shown before you confirm.

Billing cycle

Subscriptions bill monthly or annually in advance, as selected. Usage-based charges (extra SMS, voice minutes) bill in arrears for the month in which they were incurred.

Taxes

All fees are exclusive of VAT and other applicable taxes, which we add at the rate in force at the time of invoice.

Late payment

If a payment is more than 14 days overdue, we may suspend non-critical features (API access, new-device provisioning) after written notice. We do not disable live alerts without explicit escalation — the service is often life-safety relevant.

Refunds

Subscription fees are non-refundable except where required by law. Hardware is covered by its warranty (see §04). A 30-day pilot is available on request; if you cancel during the pilot, we refund prepaid subscription fees.

04 · Hardware

The monitor and its probes.

  • Warranty. TempGuard devices are warranted against manufacturing defects for 24 months from the date of shipment. We repair or replace, at our option, free of charge.
  • Not covered. Physical damage, liquid damage, unauthorised modification, or use outside the specified environmental limits. SIM-card damage from reseating by untrained personnel.
  • Probe calibration. Probes are calibrated at shipment. For environments requiring traceable calibration cycles, Enterprise customers can opt into annual recalibration.
  • Title. Unless you have signed a rental or lease order, title to the hardware passes on full payment and risk passes on delivery.
  • Return. If you end your subscription and are on a device-loan arrangement, devices must be returned in working condition within 30 days; we cover return shipping within the UAE.
05 · Acceptable use

Use it for monitoring, not for mischief.

You agree not to, and not to permit others to:

  • Use the Service in a way that breaks applicable law, infringes rights, or harms others
  • Reverse-engineer, decompile, or attempt to extract source from the Service, except as law expressly allows
  • Probe, scan, or stress-test the Service without prior written permission (see the Security page for responsible disclosure)
  • Resell, sublicense, or white-label the Service without a written reseller agreement
  • Abuse the alerting channels — e.g. using the SMS/voice gateway for bulk or unrelated messaging
  • Tamper with devices you do not own, or interfere with the wireless or SIM components
06 · Your data

Yours. Processed on your behalf.

As between you and us:

  • You own your data — readings, thresholds, alerts, users, and configuration.
  • We act as a data processor on your instructions. Details are in the Privacy policy and the Data Processing Addendum (available on request).
  • You grant us the limited licence necessary to host, process, back up, and display your data for the purpose of providing the Service.
  • You are responsible for ensuring you have the right to upload any personal data into the account (for example, recipients of SMS alerts).
07 · The service

Availability, support, and changes.

Availability

We target 99.9% monthly uptime for the cloud dashboard, the API, and the alert dispatch service. Enterprise contracts include a written SLA with service credits for missed targets. Scheduled maintenance windows are announced at least 72 hours in advance and do not count against uptime.

Support

Support is by email during Gulf Standard Time business hours. Enterprise plans include a named engineering point of contact and priority response targets written into the order form.

Changes to the Service

We improve the Service continuously. We will not remove materially relied-upon functionality without at least 90 days' notice and, where practical, a migration path.

08 · Warranties

What we commit to — and what we don't.

We warrant that the Service will perform materially in accordance with its published documentation. Hardware is covered by §04. Beyond those commitments and anything expressly stated in a signed order form, the Service and hardware are provided "as is" and we disclaim all other warranties — express, implied, or statutory — including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

Not a substitute for your procedures

TempGuard is a monitoring and alerting aid. It is not a replacement for your facility's standard operating procedures, regulatory inspections, or trained staff. You remain responsible for deciding how to respond to any alert.

09 · Liability

Capped and fair — both ways.

To the maximum extent permitted by law:

  • Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, even if advised of the possibility.
  • Each party's total aggregate liability arising out of or relating to these Terms is limited to the fees you paid for the Service in the 12 months preceding the event giving rise to the claim.
  • Nothing in these Terms limits liability that cannot be limited under applicable law — including death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
10 · Dispute resolution

Talk first. Arbitrate if we must.

If a dispute arises out of or relating to these Terms, both parties agree to follow this ladder before going to court:

  1. Notice & good-faith discussion. The party with a concern sends a written notice to the other ("Notice of Dispute") describing the issue, the basis, and the resolution sought. Senior representatives of both sides will meet (in person or remotely) within 21 days of the notice to attempt resolution.
  2. Mediation. If the dispute is not resolved within 45 days of the Notice, either party may refer it to non-binding mediation at a Dubai-based mediation centre, with costs shared equally.
  3. Arbitration (optional). If both parties agree in writing, the dispute may be submitted to binding arbitration under the DIAC Arbitration Rules, seated in Dubai, in English, before a single arbitrator.
  4. Courts. Failing the above, the courts of Sharjah (see §12) have jurisdiction.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief in any competent court at any time.

11 · Term & termination

How this ends.

Term

These Terms apply for as long as you have an active subscription. Monthly plans renew monthly; annual plans renew annually. Enterprise contracts follow the period in the order form.

Cancellation by you

You can cancel any time from the dashboard or by emailing info@aebiss.com. Cancellation stops the next renewal; fees already paid for the current term are non-refundable except where required by law or the pilot policy in §03.

Termination by us

We may suspend or terminate for material breach that is not cured within 30 days of written notice, or immediately for illegal use, repeated abuse of the alerting channels, or non-payment more than 60 days overdue.

On termination

Your data stays available for export for 90 days after termination, then is deleted per the retention schedule. Sections that by their nature should survive (accrued fees, data ownership, liability, governing law) survive termination.

12 · Export controls

Sanctions & export compliance.

TempGuard hardware contains wireless modules and firmware that may be subject to UAE export controls and to the export-control laws of the countries in which they are manufactured. You represent and warrant that you will not, directly or indirectly:

  • Export, re-export, or transfer TempGuard hardware, firmware, or the Service to any country, entity, or individual subject to applicable economic sanctions (including UAE, UN, EU, UK, or US sanctions regimes);
  • Use the Service or hardware for any end-use prohibited under applicable export-control or sanctions law;
  • Use the Service or hardware if you are located in, ordinarily resident in, or a national of a country subject to comprehensive sanctions, or if you appear on any applicable restricted-party list.

If the regulatory status of a shipment changes after we accept your order, we may delay, suspend, or cancel delivery without liability. You will promptly notify us if your circumstances change in a way that affects these representations.

13 · Governing law

Jurisdiction.

These Terms are governed by the laws of the United Arab Emirates. The courts of Sharjah have exclusive jurisdiction over any dispute, unless a signed order form specifies otherwise. Nothing in this clause prevents either party from seeking urgent injunctive relief in any competent court.

14 · Changes

When we update these Terms.

We may update these Terms from time to time. Material changes will be announced by email to the account admin at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with a change, you may cancel under §10 and any prepaid unused fees will be refunded on a pro-rata basis.
